Section 5
Share capital and shareholders
: (1) The initial authorized share capital of the Authority shall be as specified by the Government of Nepal by publishing a notification in the Nepal Gazette and such capital shall be divided into shares as specified in the same notification.
(2) The authority may increase and decrease its initial authorized share capital with the permission of the Government of Nepal and if the share capital of the authority decreases, the nominal value of each share will also be reduced in proportion to the share capital.
(3) Out of the shares issued by the authority, only the remaining shares will be purchased by the Government of Nepal and sold to the general public.
(4) The liability of the shareholders of the Authority shall be limited.
(5) Each share shall be indivisible and the shareholder shall be entitled to vote at the general meeting of shareholders on the basis of one vote for each share held by him.
